ECB Clears UniCredit to Cross 30% Threshold in Commerzbank
UniCredit said the European Central Bank has authorised it to exceed the 30% ownership threshold in Commerzbank, removing a major supervisory hurdle to its proposed takeover. UniCredit expects to hold about 50% of voting rights and gain control around the end of 2026, subject to remaining procedures and conditions; a separate European Commission competition review is due to reach an initial decision by November 16.
What changed The supervisory obstacle to transferring tendered shares has been removed, advancing settlement rather than completing the acquisition.
For Commerzbank's leadership and shareholders, effective voting control could bring board and management changes; ECB clearance alone does not put those changes into effect.
